1. Services

Ovio Agency provides digital marketing services, including but not limited to Google Business Profile and SEO management, social media content and management, paid advertising, funnels, email marketing, and consulting.

The scope of services will be defined in a written proposal, agreement, or order form between Ovio Agency and the client.

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of your business to use our services.

3. Client Responsibilities

By engaging with Ovio Agency, you agree to:

• Provide accurate and timely information needed for us to deliver services.

• Obtain rights or permissions for any materials you supply (such as logos, images, or video clips).

• Pay all fees as agreed in writing.

4. Fees and Payment

• Fees will be outlined in a written proposal or agreement.

• Payments are due on the schedule specified in your agreement.

• Late payments may result in suspension or termination of services.

• Ad spend and third-party costs (e.g., platforms, tools) are billed separately unless otherwise agreed.

5. Intellectual Property

• All content, strategies, and materials created by Ovio Agency remain our property until full payment is received.

• Upon full payment, ownership of final deliverables (content, graphics, reports, etc.) will transfer to the client, unless otherwise specified.

• Ovio Agency may showcase completed work for portfolio and marketing purposes, unless agreed otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information obtained during the engagement.

7. Disclaimer of Warranties

Ovio Agency makes no guarantees about specific results (e.g., traffic, rankings, or revenue). Marketing outcomes depend on many factors outside our control. Services are provided “as is” and “as available.”

8. Limitation of Liability

To the maximum extent permitted by law, Ovio Agency is not liable for indirect, incidental, or consequential damages. Our total liability for any claim related to services is limited to the amount paid by the client in the three months preceding the claim.

9. Termination

• Either party may terminate the agreement with written notice (typically 30 days unless otherwise specified).

• Client remains responsible for all fees owed up to the termination date.

10. Governing Law

These Terms are governed by the laws of the State of California, United States. Any disputes will be handled in the courts located in San Diego County, California.

11. Changes to Terms

We may update these Terms occasionally. Updates will be posted here with a new “Effective Date.” Continued use of our services constitutes acceptance of the updated Terms.
